Terms of Service
Governs the public site. Subordinate to a signed Contractor Services Agreement for the services that agreement covers.
Version 2.3 · Effective 2026-10-01 · Last updated 2026-10-01 · Status: draft for counsel
This document is provided for information and is not legal advice. Punchlist recommends review by its own counsel before reliance. No representation is made that these Terms are enforceable in any particular state.
These Terms of Service ("Terms") govern your use of punchlistrebates.com (the "Site") and the services Punchlist offers (together, the "Services"). The Services include the public website and its free rebate information, the free ZIP and utility check, the printable resource sheets, contractor enrollment ("Work with me"), and our email and phone support.
By accessing the Site or using any Service you agree to these Terms. If you do not agree, do not use the Services.
1. Who we are
"Punchlist," "we," "us," and "our" mean Punchlist Rebates LLC, a California limited liability company (California Secretary of State entity number B20260377649, articles filed 2026-08-18), which publishes the Site and offers the Services. "Punchlist" and "Punchlist Rebates" are names we trade under; the contracting party is always Punchlist Rebates LLC.
"You" means the person or entity using the Services. If you use the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms, and "you" means both you and that business.

2. Which document governs what
Punchlist's terms are layered. In the event of a conflict, this order controls, from highest to lowest:
- a signed or electronically accepted Order Form, as to the commercial terms it states;
- a signed or electronically accepted Contractor Services Agreement, for the paid contractor services it covers;
- these Terms of Service;
- the Documentation and other content on the Site.
The Privacy Policy is not subordinated by this order. It governs how Punchlist handles personal information, and it controls over any description of privacy practices in these Terms. Where these Terms summarize the Privacy Policy, the summary is for convenience and the Privacy Policy is authoritative.
If you are an enrolled contractor with a Contractor Services Agreement, that Agreement controls over these Terms for the services it covers. These Terms still govern your general use of the public Site.
3. What Punchlist is — and what it is not
Punchlist sells information about utility, state, federal, and manufacturer incentive and rebate programs, and software tools for looking that information up. That is the entire product.
Punchlist is not a utility, a government agency, an incentive program administrator or implementer, a lender, an insurer, a dealer, a contractor, or a tax, legal, accounting, engineering, or financial advisor.
Punchlist does not:
- administer any incentive program;
- decide, determine, or approve anyone's eligibility for any program;
- receive, process, approve, deny, or pay any application or rebate;
- take custody of, hold, or disburse any program funds;
- submit anything to a government or utility portal by software or without a human signing off on it; or
- guarantee that any program will pay you, pay any particular amount, or pay at any particular time.
Eligibility, approval, amount, timing, and continued funding are decided solely by the program and its administrator, under their rules and subject to their funding.
4. Eligibility to use the Services
You must be at least 18 years old and able to form a binding contract. The Services are intended for businesses and for adults acting in the course of business.
5. The free information and the free check
5.1 Most of the Site is free and requires no account.
5.2 Every figure is verified and dated — and is still an estimate. We verify each figure against its source and publish the date we checked it. Programs change their rules, amounts, and funding without notice, and information can become out of date between checks. Free information is provided "as is," and any figure is an estimate until the relevant program approves it.
5.3 We publish what we do not know. Our coverage register, gap register, and change feed state what has been verified, what has not, and what changed. A statement that something is unverified, partial, unresolved, or not covered is part of the answer, not a defect.
5.4 The free ZIP and utility check runs in your browser. It asks for a state, a ZIP code, your electric and gas utility, and a building type. It does not ask for a street address, a name, an email address, or a phone number, and nothing you type into it is transmitted to us. See the Privacy Policy, § 2.2.
5.5 A ZIP code does not always resolve a utility. In parts of our coverage, more than one utility serves a single ZIP code, and the gas utility at an address can qualify for a program while the electric utility at the same address does not. Where that is the case, the tool says so and asks you to name the utility from the customer's bill. You are responsible for naming the correct utility.
6. Reserved
6.1 The paid vehicle eligibility check that earlier versions of these Terms described in this section was discontinued on 2026-09-03 and is not offered. No consumer service on the Site requests a payment card or places a hold or charge. This section number is retained so that references to later sections are unchanged.
7. Free resource sheets
Punchlist publishes printable one‑page reference sheets, free and without an email gate. You may view, download, print, and use them in your own work. You may not resell them, republish them as your own, or strip their attribution, source citations, or verification dates. They are provided "as is" for general reference, and the accuracy and no‑guarantee terms in these Terms apply to them.
8. Contractor enrollment and paid contractor services
8.1 An inquiry is not a contract. If you send an enrollment inquiry through the "Work with me" form or by email, you are asking to be considered for Punchlist's contractor services. You are not entering a contract, and we are not obligated to enroll you or to provide any service until we agree in writing.
8.2 The enrollment form uses your own email program. Pressing send on the form assembles what you typed into a message and hands it to your own email application, addressed to us. Nothing reaches us until you send that email yourself.
8.3 Paid contractor services are governed by a separate agreement. Any paid contractor service — its price, scope, seats, territory, renewal, and cancellation terms — is set in a Contractor Services Agreement and its Order Form. Where that Agreement conflicts with these Terms, that Agreement controls for the services it covers, as stated in § 2.
8.4 We are not obligated to serve any territory. Nothing here obligates Punchlist to serve any particular state or area, and we may decline enrollment for any lawful reason. We enable only the states for which we have established verified coverage and which you actually work in.
8.5 We do not verify your license. We do not verify contractor licensure, bonding, insurance, or program enrollment status, and we do not represent that we do. Any such information you give us is your representation, used only for account configuration and our records.
9. Accounts and the contractor workspace
9.1 There is no live account system today. Punchlist currently operates no user accounts, no logins, no passwords, and no contractor workspace. Any contractor portal shown in a demonstration or a screenshot is exactly that — a demonstration — and is not available. Do not treat any such demonstration as a live, secured, or private system.
9.2 If and when accounts launch. If Punchlist launches an authenticated account, the Privacy Policy will be updated before the feature is enabled, and these additional terms will apply: you are responsible for keeping your credentials secure and for activity under your account; you will tell us promptly of any unauthorized use; you will not share access; and we may suspend or revoke access to protect the Services or for a violation of these Terms.
9.3 Do not submit customers' personal information. Whether through a form, a workspace, or an email to us, do not send us your customer's name, street address, telephone number, email address, or utility account number. Send the ZIP code, the utility, and the equipment — that is what the answer depends on. See § 10 and the Privacy Policy, § 2.4.
9.4 Planned features may change. Features described as planned, in progress, or in a demo may change materially or may never ship. Nothing on the Site describing a planned feature is a commitment to deliver it.
10. Information you submit to us
10.1 When you contact us or submit a form, you confirm the information is accurate and that you are entitled to share it.
10.2 Do not submit anyone else's personal information unlawfully, and do not submit the categories listed in § 9.3.
10.3 Feedback. We treat unsolicited ideas, suggestions, and feedback as non‑confidential, and you grant us a perpetual, royalty‑free license to use them to improve the Services without obligation to you. Do not send us confidential material you do not want us to use in order to respond.
10.4 We use what you send to respond to you and to run the Services, as described in the Privacy Policy.
11. Payments
11.1 Payments are processed by Stripe, Inc. Card details are entered on Stripe's own hosted checkout page, on Stripe's systems. Punchlist does not receive or store your full card number.
11.2 Reserved. The clause that authorized the card hold for the discontinued paid vehicle check (§ 6) was removed with that service.
11.3 Prices are in U.S. dollars and are set by Punchlist. You are responsible for any applicable taxes.
11.4 You represent that you are authorized to use the payment method you provide.
11.5 Chargebacks. If you believe a charge is wrong, contact us first at will@punchlistrebates.com. We would rather refund you than argue with your bank.
12. Refunds
12.1 Reserved. The accuracy refund in earlier versions of these Terms applied only to the discontinued paid vehicle check (§ 6). No consumer service on the Site is paid, so no consumer refund term is in force. Refunds for paid contractor services are governed by the Contractor Services Agreement.
13. No professional advice
The Services provide information, not advice. Nothing in the Services is legal, tax, accounting, engineering, or financial advice, and nothing creates a professional‑client relationship. Decisions about a purchase, installation, quote, or tax position are yours; consult a qualified professional where appropriate.
14. Accuracy and no guarantee
We work to verify information against primary sources and to date it, and we publish what we do not yet know rather than guess. Even so, we do not warrant that any information is complete, current, or error‑free, and we do not guarantee any program outcome, payment, amount, or timing.
You are responsible for confirming eligibility, amounts, and current rules with the program or its administrator before you rely on them, quote them to a customer, discount a price against them, or advance any amount in reliance on them.
Nothing in these Terms excuses Punchlist's own fraud, intentional misrepresentation, or knowing publication of information it knows to be false.
15. Acceptable use
You agree not to:
- (a) scrape, crawl, harvest, or bulk‑download the Site or its data, by automated or manual means, beyond ordinary interactive visiting;
- (b) resell, redistribute, or republish our information, resource sheets, or data as your own or as a competing dataset;
- (c) use our information or results to create, populate, train, or improve any database, dataset, index, model, or product that competes with or substitutes for the Services;
- (d) probe, scan, attack, disrupt, overload, or attempt to gain unauthorized access to the Site, the checks, or their supporting systems, or circumvent any rate limit or access control;
- (e) reverse engineer the Services, except to the extent that restriction is prohibited by law;
- (f) remove, obscure, or alter any source citation, verification date, attribution, or estimate disclaimer;
- (g) represent or imply that you are Punchlist, that Punchlist endorses or has approved your work, or that Punchlist administers a program, decides eligibility, or guarantees a payment;
- (h) use the Services to break any law or infringe anyone's rights; or
- (i) access our feeds (such as RSS) other than for ordinary personal reading.
There is no public API, and automated access to our endpoints is not permitted.
16. Intellectual property
16.1 What we own. The Site, its text, design, interfaces, software, the resource sheets, and the Punchlist Compilation are owned by Punchlist and protected by intellectual‑property law. The "Punchlist Compilation" means our selection, collection, coordination, arrangement, normalization, and structuring of program information; our verification records, source citations, and verification dates; our coverage, gap, and change registers; our territory and utility mappings; our eligibility logic and decision rules; our editorial analysis and annotations; and our software, designs, report formats, methodology, and documentation.
16.2 What we do not own. Punchlist does not claim to own the underlying public information. Statutes, regulations, agency publications, utility tariffs, program handbooks, measure lists, rebate amounts, and government forms published by a government body, a utility, a program administrator, or a manufacturer are not owned by Punchlist. We claim no copyright or other proprietary right in those underlying facts as such, and nothing in these Terms prevents you from obtaining and using that public information from its own sources.
16.3 License to you. We grant you a limited, personal, non‑exclusive, non‑transferable, revocable license to use the information and resource sheets for your own quoting and decision‑making. That license does not let you redistribute, resell, or build a competing product or dataset from our data, and it does not survive your breach of § 15.
16.4 The obligations in § 15 are contractual and apply regardless of whether the underlying facts are separately protectable by intellectual‑property law.
17. Third parties: programs, partners, and links
The Services describe and link to programs and sites operated by others. We do not control them and are not responsible for their content, rules, decisions, availability, or funding. Your dealings with any program, administrator, utility, dealer, or contractor are between you and them.
If you are a distributor, trade association, or program implementer working with Punchlist, that relationship is governed by whatever we agree separately; these Terms still govern your general use of the Site.
18. Privacy
Our handling of personal information is governed by our Privacy Policy, at punchlistrebates.com/privacy.html, which is incorporated into these Terms by reference. In summary, and subject in all respects to that Policy:
- The public Site sets no cookies, runs no analytics, and loads no third‑party tracking. Nothing you type into the free ZIP check is transmitted to us.
- Our hosting provider necessarily processes technical request information — such as your IP address, the page requested, and a timestamp — in order to serve the Site, as any website does.
- When you contact us or enroll, we keep what you send in our email in order to respond.
- We do not sell your personal information and we do not share it for advertising.
- No third party tracks you across other websites through our Site, and § 5.4 of the Privacy Policy explains how we respond to Do Not Track signals.
Where this § 18 and the Privacy Policy differ, the Privacy Policy controls.
19. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, THE SITE, AND ALL INFORMATION AND RESULTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON‑INFRINGEMENT, ACCURACY, COMPLETENESS, CURRENCY, OR QUIET ENJOYMENT.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT ANY RESULT IS COMPLETE, CURRENT, OR ERROR‑FREE; THAT ANY PROGRAM WILL APPROVE, PAY, OR CONTINUE TO FUND ANY INCENTIVE; THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, OR SECURE; OR THAT ANY DEFECT WILL BE CORRECTED.
Some states do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you, and you may have warranty rights under the law of your state of residence that these Terms do not limit.
20. Limitation of liability
20.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PUNCHLIST WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, ANTICIPATED SAVINGS, OR DATA, OR FOR THE LOSS OF OR INABILITY TO OBTAIN ANY REBATE OR INCENTIVE, OR ANY AMOUNT YOU DISCOUNTED, CREDITED, ADVANCED, OR ABSORBED IN RELIANCE ON A RESULT, ARISING OUT OF OR RELATING TO THE SERVICES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY, AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THIS APPLIES WHETHER THOSE LOSSES ARE CHARACTERIZED AS DIRECT, INDIRECT, OR CONSEQUENTIAL.
20.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PUNCHLIST'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID PUNCHLIST FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (b) ONE HUNDRED U.S. DOLLARS ($100).
20.3 Not limited. Nothing in this § 20 limits liability for Punchlist's own fraud, intentional misrepresentation, or willful misconduct; for death or personal injury caused by Punchlist's negligence; or for any liability that cannot be limited or excluded under applicable law.
20.4 Some states do not allow certain limitations of liability, so parts of this section may not apply to you.
20.5 If you have a Contractor Services Agreement, its limitation of liability governs the services it covers, in place of this § 20.
21. Indemnification
You agree to indemnify, defend, and hold harmless Punchlist and its members, managers, employees and agents from and against third‑party claims, losses, damages, and reasonable expenses (including reasonable attorneys' fees) arising out of or relating to: your misuse of the Services; your violation of these Terms; your violation of any law or any third party's rights; any representation you made to your own customer about an incentive; or your violation of any program's rules.
We will notify you of any claim for which we seek indemnity, give you control of the defense with counsel reasonably acceptable to us, and cooperate at your expense. You may not settle a claim in a way that imposes any obligation or admission on us without our prior written consent.
22. Governing law and disputes
ATTORNEY CONFIRMATION REQUIRED — GOVERNING LAW / VENUE. The governing state must be confirmed by counsel against Punchlist's actual principal place of business. See the Legal Audit for the analysis.
22.1 Governing law. These Terms are governed by the laws of the State of California, without regard to its conflict‑of‑laws rules.
22.2 Your state's non‑waivable consumer rights are preserved. Nothing in these Terms waives, and § 22.1 does not displace, any consumer‑protection right, remedy, warranty, or statute of limitations available to you under the law of your state of residence that cannot be waived or varied by agreement. Where the law of your state of residence would apply to a consumer claim notwithstanding a choice‑of‑law clause, that law applies to that claim.
22.3 Informal resolution first. Before filing any claim, you agree to contact us at will@punchlistrebates.com describing the dispute and the relief sought, and to try in good faith for 30 days to resolve it. We will do the same. This does not prevent either of us from seeking injunctive relief to protect intellectual property, or from filing to preserve a claim that would otherwise become time‑barred.
22.4 Venue. Subject to § 22.2 and § 22.5, any claim not resolved informally will be brought in the state or federal courts located in Ventura County, California, and you consent to personal jurisdiction and venue there.
22.5 Small claims. Either of us may bring an eligible claim in small‑claims court in a proper venue, including the small‑claims court where you reside.
22.6 No arbitration; no class‑action waiver. These Terms do not require arbitration and do not contain a class‑action waiver. Disputes are resolved in court, or in small‑claims court, as provided above. See the Legal Audit for the reasoning behind this choice.
23. Changes to these Terms
We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top of this document and on the Terms page of the Site, and both will show the same date.
Material changes take effect 30 days after posting, except that a change required by law or necessary for security may take effect immediately on posting. Continuing to use the Services after a change takes effect means you accept the updated Terms.
The version that applies to a check is the version in effect at the moment you run it. We retain prior versions and will provide the version applicable to your transaction on request.
24. Suspension and termination
24.1 We may suspend or stop providing the Services, or restrict your use of them, at any time if you violate these Terms or to protect the Services, our users, or a third party. Where practicable and lawful, we will give notice.
24.2 You may stop using the Services at any time.
24.3 Survival. Sections 2, 3, 10.3, 13, 14, 15, 16, 18, 19, 20, 21, 22, 24.3, and 25 survive termination.
25. Miscellaneous
25.1 Severability. If any part of these Terms is found unenforceable, it will be limited to the minimum extent necessary or severed, and the rest stays in effect.
25.2 Waiver. Our not enforcing a provision is not a waiver of it.
25.3 Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger or a transfer of the business, on notice posted to the Site.
25.4 Electronic acceptance and records. You consent to transact with us electronically. Where you accept these Terms by checking an unchecked box and clicking an acceptance control, that acceptance has the same legal force as a handwritten signature under the federal Electronic Signatures in Global and National Commerce Act and applicable state enactments of the Uniform Electronic Transactions Act. We do not use pre‑checked boxes. For a paid check, running the check after being shown and linked to these Terms constitutes your agreement to them.
25.5 Notices to you may be given by email to an address you provide or by posting to the Site. Notices to us must go to will@punchlistrebates.com and 4168 Minnecota Drive, Thousand Oaks, CA 91360.
25.6 Force majeure. We are not liable for a delay or failure caused by an event beyond our reasonable control, including failure or outage of a hosting, payment, or infrastructure provider.
25.7 No third‑party beneficiaries, except that Will Malinzak individually may enforce §§ 20 and 21.
25.8 Entire agreement. These Terms, together with the Privacy Policy and any Contractor Services Agreement and Order Form, are the entire agreement between you and Punchlist about the Services and replace any prior understanding on that subject.
25.9 Limitations period. To the maximum extent permitted by applicable law, and subject to § 22.2, any claim arising out of or relating to the Services must be brought within one (1) year after it accrues, or it is permanently barred.
25.10 Interpretation. "Including" means "including without limitation." Headings are for convenience only. No rule of construction against the drafter applies.

Plain‑language summary
Not a substitute for the Terms above, and not part of them.
We sell rebate information, not rebates. The free ZIP check runs in your browser and never reaches us. We do not guarantee any program will pay you; the program decides. No one can promise perfect information, so we show you the source and the date behind every figure and tell you plainly what we do not know. We set no cookies, run no analytics, and never sell your information. There is no login and no customer database.
